- Certificate of Formation: $110. Once, when you form the LLC. Fee schedule 'Revised August 1, 2026' (read 2026-10-09): Formation (domestic) $110.00, which equals the filing fee plus municipality fee. Same-day ($100) and 24-hour ($50) fees are optional expedite. Source
- Annual LLC tax: $400. Every year, starting in year 2. Division page: LLCs pay an annual tax of $400.00; no annual report. 85 Del. Laws c. 273 (HB 400, approved May 21, 2026, section 23 raises 6 Del. C. 18-1107(b) from $300 to $400, and section 45 makes it effective January 1, 2026. So $400 applies from tax year 2026 (paid by June 1, 2027). The tax for a calendar year is due June 1 of the next year with no proration, so the formation-year tax is paid in year 2. Forming in another state instead?
If your business operates in Delaware, forming in another state does not remove the Delaware fees. You register there as a "foreign" LLC ($200) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
