- Articles of Organization (Form DLC-1): $99. Once, when you form the LLC. DLCP fee table (read 2026-10-09): Domestic LLC certificate of organization $99.00. Expedited service is optional. Source
- Biennial Report (BRA-25): $300. Every 2 years, starting in year 2. Fee $300.00 ($100 late fee). DLCP FAQ : first Biennial Report is due by April 1 of the next calendar year, then every two years. Excluded by policy: the DC Basic Business License, needed for many activities. Source
- Unincorporated Business Franchise Tax minimum (D-30): $0. Every year, starting in year 2. Revenue-dependent. 2025 D-30 booklet: an unincorporated business with gross income of $12,000 or less owes no franchise or minimum tax (files D-30N). Threshold: gross income over $12,000, then minimum tax $250 (DC gross receipts $1M or less) or $1,000. Return covers the prior tax year, so first falls in year 2. Source
Forming in another state instead?
If your business operates in District of Columbia, forming in another state does not remove the District of Columbia fees. You register there as a "foreign" LLC ($220) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
