- Articles of Organization (Form LLC-5.5): $150. Once, when you form the LLC. 805 ILCS 180/50-10(b)(1): $150 for articles of organization ($400 for a series LLC). - Annual Report (Form LLC-50.1): $75. Every year, starting in year 2. 805 ILCS 180/50-10(b)(11): $75 (plus $50 per series), plus a penalty if late. 805 ILCS 180/50-1(b): due within the 60 days before the first day of the anniversary month, so the first report falls in the year after formation. Forming in another state instead?
If your business operates in Illinois, forming in another state does not remove the Illinois fees. You register there as a "foreign" LLC ($150) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
