  • Articles of Organization (Form CSCL/CD-700): $50. Once, when you form the LLC. LARA fee page lists 'Articles of Organization: $50.00' (inside its conversion fee breakdown). Form 700 (Rev. 07/25) also states $50 per search snippet of Optional 24-hour ($50) and same-day ($100+) expedite excluded. Source
  • Annual Statement: $25. Every year, starting in year 2. Due February 15 each year after organization, so a mid-year formation files first on February 15 of the next year (year 2). An LLC formed after September 30 skips the February 15 immediately following formation. $50 penalty if late. Under 2023 Public Act 133 (amending MCL 450.5101) the fee is $25 through September 30, 2027 and is scheduled to drop to $15 after that (seen in search-result text of the act, not read directly). Forming in another state instead?

If your business operates in Michigan, forming in another state does not remove the Michigan fees. You register there as a "foreign" LLC ($50) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
