Each fee

  • Certificate of Organization: $100. Once, when you form the LLC. $100 online; $110 in-office (paper). SOS says applicable portal fees still apply to online filings (amount not stated). Source
  • Affidavit/Proof of Publication filing: $25. Once, when you form the LLC. $25 online; $30 in-office. Filed with the SOS after the newspaper notice of organization runs. Source
  • Biennial Report: $30. Every 2 years, starting in year 2. Domestic and foreign LLCs file in odd-numbered years, January 1 to April 1, delinquent June 16 (SOS Annual/Biennial Reporting page). Paper fee $30.00 on the official 2025-2026 LLC biennial report form (revised June 2025). The SOS says LLCs can file online for $28 (February 2025 news release). An LLC formed in an even year (such as 2026) files first in the next calendar year (year 2); one formed in an odd year files first two years later (year 3). Source

Newspaper publication

Nebraska requires new LLCs to publish a notice in a newspaper. Neb. Rev. Stat. 21-193: notice of organization must be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, then proof of publication is filed with the Secretary of State. 2026 LB 1014, which would have allowed online publication on an SOS web page instead, was indefinitely postponed. No official source gives a newspaper cost range. No official source gives a price, so the totals leave it out. Source

Forming in another state instead?

If your business operates in Nebraska, forming in another state does not remove the Nebraska fees. You register there as a "foreign" LLC ($110) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
