- Certificate of Formation (domestic LLC): $100. Once, when you form the LLC. Official DORES fee schedule (page updated 07/01/26, read 2026-10-09) lists 'Certificate of formation $100.00'. The old $125 fee was cut to $100 by A-5325/S-4534, signed June 30, 2026 and in effect from July 1, 2026 (news reports; the bill text on njleg.gov was unreachable). Older pages that say $125 are out of date. Source
- Annual Report: $75. Every year, starting in year 2. Fee schedule lists 'Annual Report $75.00' (unchanged by the 2026 fee cut). Due by the last day of the LLC's anniversary month, so the first report is in the calendar year after formation: year 2. Source
Forming in another state instead?
If your business operates in New Jersey, forming in another state does not remove the New Jersey fees. You register there as a "foreign" LLC ($100) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
