Each fee
- Articles of Organization (domestic LLC, DOS-1336): $200. Once, when you form the LLC. Fee schedule: 'Articles of Organization $200'. The forming page also says 'The fee for filing the Articles of Organization is $200.' Source
- Certificate of Publication: $50. Once, when you form the LLC. Filed with the newspaper affidavits after the publication is complete, 'with a $50 filing fee', within 120 days of formation. Newspaper charges are separate (see publication). Source
- Biennial Statement: $9. Every 2 years, starting in year 3. Fee schedule: 'Biennial Statement $9'. Due every two years in the calendar month the Articles were filed. The first one is due two years after formation, so year 3 under the year convention. Source
- LLC annual filing fee (Form IT-204-LL), disregarded single-member LLC: $25. Every year, starting in year 2. Applies only if the LLC has income, gain, loss or deduction from New York sources in the tax year. An LLC with no New York-source items owes nothing. Flat $25 for a single-member LLC disregarded for federal tax (multi-member LLCs taxed as partnerships pay $25 or more by NY-source gross income). Due by the 15th day of the 3rd month after the tax year ends, so the fee for the formation year is paid in year 2. Source
Newspaper publication
New York requires new LLCs to publish a notice in a newspaper. LLC Law Section 206: within 120 days of formation, publish the Articles or a notice in two newspapers (one daily, one weekly) designated by the county clerk, once a week for six consecutive weeks, then file the Certificate of Publication ($50, listed in one_time). If not done in 120 days, the LLC's authority to do business is suspended. Newspaper charges vary by county and have no official price, so cost is null. No official source gives a price, so the totals leave it out. Source
Forming in another state instead?
If your business operates in New York, forming in another state does not remove the New York fees. You register there as a "foreign" LLC ($250) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
