  • Articles of Organization (Form 400): $150. Once, when you form the LLC. Costs and Fees page: 'Initial RI Dept. of State Filing Fee $150' for an LLC. The Start Your Business page lists the same $150 online or paper. Source
  • Annual Report (Form 632): $50. Every year, starting in year 2. $50 (also on the Costs and Fees page). Filing window February 1 to May 1, starting the calendar year after registration, so year 2. $25 late fee from June 1. Online filing may add a small surcharge. Source
  • Annual charge (minimum tax) to RI Division of Taxation: $400. Every year, starting in year 2. Division of Taxation Notice 2026-01 (Feb 11, 2026, read through a web.archive.org copy): an LLC not taxed as a corporation files Form RI-1065 and pays a $400 annual charge. This applies to single-member LLCs and to every year the LLC exists, including a partial formation year. The charge for the formation year is paid with the return due March 15 of the next year (a single-member LLC uses its owner's due date, April 15 for an individual), so the first payment is in year 2. Forming in another state instead?

If your business operates in Rhode Island, forming in another state does not remove the Rhode Island fees. You register there as a "foreign" LLC ($150) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
