- Annual Report: $55. Every year, starting in year 2. Online fee. Paper fee is $70. Fee rose from $50 to $55 under 2025 legislation (SDCL 47-34A-212). Due date rule not confirmed today; assumed due around the anniversary of formation, so the first report falls in year 2. Source
Forming in another state instead?
If your business operates in South Dakota, forming in another state does not remove the South Dakota fees. You register there as a "foreign" LLC ($750) and keep filing its yearly reports.
