Each fee
- Certificate of Formation, LLC (Form 205): $300. Once, when you form the LLC. SOS fee schedule Form 806 (Revised 09/26). Card payments carry a convenience fee (Form 205 instructions page: $0.25 plus 2.25% of total fees). Source
- Franchise tax report (no tax due) with Public Information Report: $0. Every year, starting in year 2. LLCs are subject to franchise tax. No tax is due when annualized total revenue is at or below the no-tax-due threshold: $2,650,000 for reports due in 2026 and 2027 ($2,470,000 for 2024 and 2025). Such entities 'simply file' the Public Information Report or Ownership Information Report, with no fee. Reports are due May 15 each year. The first report is due May 15 of the year after formation, which is a date in the next calendar year, so it starts in year 2. Source
Forming in another state instead?
If your business operates in Texas, forming in another state does not remove the Texas fees. You register there as a "foreign" LLC ($750) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
| If you live in Texas | First year | 5-year total |
|---|---|---|
| Form in Texas | $300 | $300 |
| Form in Wyoming, register in Texas | $949 | $1,585 |
| Form in Delaware, register in Texas | $959 | $2,955 |
Assumes a foreign LLC pays the same yearly Texas fees as a local one. Try your own numbers.
How to file
You can file with the state yourself: Texas official filing page. Or pay a formation service to file for you. Services charge their own fee on top of the state fees above.
