Each fee
- Articles of Organization: $155. Once, when you form the LLC. 11 V.S.A. 4012(a)(1); the SOS fee page shows the same $155. No extra fee for online filing. Source
- Annual Report (domestic LLC): $45. Every year, starting in year 2. 11 V.S.A. 4012(a)(15): $45 (re-read 2026-10-09). The due-date rule was not read on an official page. Under the collector's reading (tied to the fiscal year end, first report early in the year after formation), the first report falls on a date in the next calendar year, so it starts in year 2. Source
Forming in another state instead?
If your business operates in Vermont, forming in another state does not remove the Vermont fees. You register there as a "foreign" LLC ($155) and keep filing its yearly reports. You also pay a registered agent in the other state. We assume $99 a year, a low published price (Harbor Compliance).
